Terms of Service

1. Agreement
These Terms of Service ("Terms") govern your access to and use of tsotchke.ai, Selene, GeoRefine, MoonLab, hosted product surfaces, APIs, developer tools, code execution, support, documentation, and related services (the "Service") provided by TSOTCHKE CORPORATION ("Tsotchke," "we," "us," or "our").
By creating an account, using the Service, clicking an acceptance button, using an API key, or signing an order form that references these Terms, you agree to these Terms. If you use the Service for an organization, you represent that you have authority to bind that organization, and "you" includes that organization.
2. Service Overview
Tsotchke builds applied AI and quantum systems. The Service may include:
- Selene: Hosted AI workspace for chat, model routing, agents, expert debates, file workspaces, code execution, generated artifacts, and developer APIs.
- GeoRefine: Enterprise model-compression and evaluation workflows for reducing inference cost while preserving target quality budgets.
- MoonLab: Quantum simulation, validation, QEC, topology, quantum-safe, and control-plane workflows for research and enterprise teams.
We may add, change, limit, suspend, or discontinue features, models, providers, pricing, or availability. Enterprise subscriptions, professional services, data processing terms, security addenda, service levels, or procurement terms must be in a separate written agreement signed or accepted by Tsotchke.
3. Eligibility and Accounts
You must be at least 13 years old and old enough to consent to these Terms under the laws where you live. If you are under the age of majority, you may use the Service only with permission and supervision from a parent or legal guardian. You may not use the Service if you are barred by law, sanctions, export controls, or prior suspension.
- Provide accurate registration, billing, and contact information.
- Keep credentials, API keys, devices, and recovery methods secure.
- Notify us promptly of unauthorized access or suspected compromise.
- Remain responsible for all activity under your account, workspace, organization, or API keys.
- Do not share accounts or impersonate another person or organization.
4. Acceptable Use
You may use the Service only for lawful purposes and in accordance with these Terms. You must not:
- Violate law, regulation, sanctions, export controls, third-party rights, privacy rights, or contractual obligations.
- Generate, upload, or distribute malware, exploit code, credential theft, phishing, spam, bot activity, or instructions that facilitate cyber abuse.
- Attempt to bypass authentication, authorization, rate limits, safety controls, provider restrictions, billing controls, or sandbox boundaries.
- Run network scanning, denial-of-service activity, cryptomining, resource exhaustion, unauthorized benchmarking, or workloads intended to degrade the Service.
- Submit data you do not have the right to process, including confidential, regulated, personal, or third-party data without proper authorization.
- Use outputs as a substitute for professional legal, medical, financial, engineering, safety, or security judgment.
- Use the Service for high-risk decisions involving employment, credit, housing, insurance, criminal justice, healthcare, education access, critical infrastructure, weapons, or physical safety unless a separate written agreement expressly permits that use.
- Resell, sublicense, white-label, scrape, mirror, or redistribute the Service or its outputs in violation of these Terms or an applicable order form.
- Misrepresent AI-generated output as human-created where disclosure is legally or ethically required.
- Use the Service to build or improve a competing service by extracting non-public functionality, pricing, datasets, benchmarks, prompts, or product behavior.
5. AI Output and Human Review
Selene and related AI features produce probabilistic output. GeoRefine and MoonLab may produce measurements, benchmarks, simulations, validation records, quality certificates, or recommendations. You agree that:
- AI outputs may be inaccurate, incomplete, offensive, unsafe, biased, or unsuitable for your use case.
- You are responsible for reviewing, testing, validating, and independently verifying outputs before relying on them.
- Similar or identical outputs may be generated for other users.
- You are responsible for prompts, files, code, data, tools, instructions, and other materials you provide.
- Upstream model providers may impose their own restrictions, safety rules, rate limits, and availability limits.
- We may block, transform, refuse, log, or remove prompts and outputs to enforce safety, security, billing, or legal requirements.
You must use qualified human review before relying on output in production, commercial, regulated, safety-sensitive, security-sensitive, or legally significant contexts. The Service is not a substitute for professional advice.
6. User Content, Inputs, and Outputs
You retain ownership of prompts, files, code, datasets, model materials, workspace data, business materials, and other content you submit ("User Content"), subject to any rights held by others. You grant Tsotchke a limited, worldwide, non-exclusive license to host, copy, process, transmit, display, transform, and use User Content and generated output as needed to provide, secure, support, meter, and improve the Service as described in our Privacy Policy and applicable agreements.
We do not claim ownership of AI-generated output that is generated for you by the Service. Subject to these Terms, applicable law, third-party rights, provider terms, and your payment obligations, you may use output for lawful purposes. You are responsible for determining whether output is protectable, accurate, non-infringing, and appropriate for your use case.
Do not submit User Content unless you have the rights and permissions needed for us, AI providers, infrastructure providers, and other subprocessors to process it for the Service.
7. API and Developer Access
API access is governed by your plan, quota, documentation, and any applicable order form. You agree to:
- Keep API keys secret and do not embed them in public repositories, mobile apps, client-side code, logs, screenshots, or support tickets.
- Use scoped keys and rotate credentials when team membership, devices, or deployments change.
- Respect published rate limits, quotas, model restrictions, fair-use limits, and billing controls.
- Do not use automated access outside published APIs or documented integration surfaces.
- You are responsible for activity under your API keys, including charges, usage, and downstream integrations.
We may revoke, rotate, throttle, disable, or require changes to API keys or integrations if needed for security, billing, abuse prevention, provider compliance, or Service reliability.
8. Code Execution and Workspaces
Selene may provide sandboxed code execution, terminal logs, artifacts, persistent environments, and file workspaces. Sandboxes reduce risk but are not a security guarantee. You agree to:
- Run only code, packages, data, and commands you are authorized to execute.
- Do not execute malware, credential harvesting, vulnerability exploitation, network scanning, cryptomining, spam, denial-of-service activity, or other abusive workloads.
- Do not attempt to escape sandboxes, access host systems, persist unauthorized processes, or probe internal infrastructure.
- Execution resources are metered and may be rate-limited, killed, isolated, logged, or disabled to protect the Service.
- You are responsible for validating code output before using it in production or safety-sensitive systems.
9. GeoRefine and MoonLab Enterprise Workflows
GeoRefine compression results, MoonLab benchmarks, quantum simulations, validation reports, quality certificates, cost estimates, and performance claims are provided for the evaluated workload, configuration, model, hardware, and assumptions. They are not guarantees that the same result will occur for every model, dataset, provider, circuit, device, workload, deployment, or future version.
Enterprise engagements may require model access, customer datasets, hardware details, security review, acceptance criteria, DPA terms, export-control review, scheduling, and written statements of work. Any deployment gate, rollback recommendation, quantum-safe migration plan, or hardware-validation record must be reviewed by your qualified operators before production use.
10. Third-Party Services and Providers
The Service may rely on AI providers, model routers, payment processors, hosting providers, analytics, error monitoring, storage, network, and email services. Third parties may have their own terms, privacy policies, restrictions, regional limits, availability limits, and data-handling practices. We are not responsible for third-party services outside our control, but we may pass through their requirements or suspend functionality when needed to comply with them.
11. Billing, Credits, and Taxes
By using paid features, you agree that:
- Paid subscriptions, credits, usage-based charges, and enterprise fees are billed according to the plan, order form, or checkout flow you accept.
- Fees are stated in US dollars unless otherwise specified and do not include taxes, duties, bank fees, or currency-conversion charges.
- You authorize us and our payment processors to charge your selected payment method for recurring fees, usage, credits, overages, taxes, and approved purchases.
- Unless required by law or stated in a separate agreement, fees and prepaid credits are non-refundable and unused credits may expire according to the applicable plan.
- We may suspend, downgrade, throttle, or terminate access for failed payments, chargebacks, suspected fraud, or unpaid invoices.
- We may change pricing or plan features with notice where required; enterprise pricing is governed by the applicable order form.
12. Intellectual Property and Feedback
The Service, software, interfaces, workflows, documentation, models, compression systems, quantum systems, designs, names, logos, trademarks, and other Tsotchke materials are owned by Tsotchke or its licensors and are protected by intellectual property laws. Except for rights expressly granted in these Terms, we reserve all rights.
If you provide feedback, ideas, benchmarks, suggestions, bug reports, or feature requests, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or compensation, without disclosing your confidential information except as permitted by an applicable agreement.
13. Confidentiality and Enterprise Data
If we enter a written enterprise agreement, order form, DPA, NDA, or security addendum, that document controls confidentiality, data processing, security commitments, procurement requirements, service levels, and support obligations for the covered enterprise services. Without a separate written agreement, do not submit information requiring special contractual controls beyond these Terms and our Privacy Policy.
14. Suspension and Termination
You may stop using the Service at any time. You may delete your account through the Service where available or by contacting us. We may suspend, throttle, or terminate access, remove content, revoke API keys, or disable features if we reasonably believe:
- You violated these Terms, law, provider rules, or an applicable agreement.
- Your use creates security, legal, billing, operational, or reputational risk.
- Your account is compromised, inactive, unpaid, fraudulent, or abusive.
- We must comply with a legal obligation, provider restriction, or safety requirement.
Sections that by their nature should survive termination will survive, including payment obligations, intellectual property, confidentiality, disclaimers, limitations of liability, indemnity, dispute terms, and audit or legal-retention provisions.
15. Disclaimers
To the maximum extent permitted by law, the Service and all outputs, reports, simulations, certificates, benchmarks, APIs, models, integrations, and documentation are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise.
We disclaim warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, reliability, uninterrupted operation, error-free operation, and any warranty arising from course of dealing or usage of trade.
16. Limitation of Liability
To the maximum extent permitted by law, Tsotchke will not be liable for indirect, incidental, special, consequential, exemplary, enhanced, or punitive damages, or for loss of profits, revenue, data, goodwill, business opportunity, model quality, deployment time, or production availability.
To the maximum extent permitted by law, Tsotchke's total liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of one hundred US dollars (US $100) or the amount you paid Tsotchke for the Service giving rise to the claim during the twelve months before the event giving rise to liability.
17. Indemnity
You will defend, indemnify, and hold harmless Tsotchke, its affiliates, officers, directors, employees, contractors, and agents from and against claims, damages, liabilities, losses, costs, and expenses arising from your User Content, your use of the Service, your violation of these Terms, your violation of law or third-party rights, your integrations, or your deployment or reliance on outputs.
18. Export Controls and Sanctions
You must comply with all applicable export-control, sanctions, anti-bribery, anti-corruption, and trade laws. You may not use the Service if you are located in, organized under the laws of, or ordinarily resident in a sanctioned jurisdiction, or if you are on a restricted-party list. You may not use the Service for prohibited nuclear, missile, chemical, biological, weapons, surveillance, or military end uses unless a separate written agreement and all required authorizations expressly permit it.
19. Changes to Terms
We may update these Terms from time to time. If we make material changes, we will provide notice through the Service, by email, or by another appropriate method. The updated Terms will apply prospectively unless otherwise required by law. If you do not agree to updated Terms, you must stop using the Service.
